Terms of Service

Welcome to GradeAid. These Terms of Service ("Terms") govern your access to and use of the GradeAid platform, including our website, services, and applications (collectively, the "Service"). By accessing or using GradeAid, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using GradeAid, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and GradeAid.

If you are using GradeAid on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement to these Terms will be treated as the agreement of the organization.

2. Description of Service

GradeAid is an AI-powered worksheet generation platform designed for educators teaching the New South Wales (NSW) curriculum. The Service allows users to:

  • Generate customized educational worksheets aligned with NSW curriculum standards
  • Access curriculum-specific content across Mathematics, English, and Science
  • Download worksheets in PDF format
  • Manage team members and invitations (Enterprise users)
  • Track worksheet generation history

GradeAid is not affiliated with, endorsed by, or connected to the NSW Education Standards Authority (NESA) or any government educational body. We provide tools to assist educators but do not guarantee that generated content meets all specific curriculum requirements.

3. Account Registration and Security

Eligibility: You must be at least 18 years old to create an account and use GradeAid. By registering, you represent that you meet this age requirement.

Account Information: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials.

Account Security: You are solely responsible for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach. GradeAid will not be liable for any loss or damage arising from your failure to maintain account security.

Account Types: Individual accounts are for single users. Enterprise accounts are for organizations and allow team management features. Account sharing is prohibited.

4. User Obligations and Acceptable Use

You agree to use GradeAid only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Service to generate content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Attempt to gain unauthorized access to any portion of the Service, other accounts, or computer systems
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use any automated means (bots, scrapers, crawlers) to access the Service without our express written permission
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express written consent
  • Share your account credentials or allow others to access your account
  • Attempt to circumvent trial limitations, create multiple accounts to access repeated free trials, or use payment methods that have already been associated with a trial account
  • Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices

We reserve the right to investigate and take appropriate legal action against anyone who violates these provisions, including removing content and terminating accounts.

5. Subscription Plans and Pricing

GradeAid offers the following subscription plans:

Individual Plan: $29 per month. Includes access to generate up to 3 worksheets per day, full curriculum coverage, and unlimited downloads. Billed monthly.

Enterprise Plan: Custom pricing based on the number of team members. Includes all Individual features plus team management, admin controls, tutor invitation system, and priority support. Billed monthly per active seat.

Pricing Changes: We reserve the right to change our pricing at any time. Price changes will not affect your current billing cycle but will apply to subsequent renewals. We will provide at least 30 days' notice of any price increases.

Taxes: All prices are quoted in Australian Dollars (AUD) and exclude applicable taxes. You are responsible for paying all taxes associated with your subscription.

6. Free Trial

Individual Trial: New Individual users receive a 7-day free trial. During the trial period, you have access to generate 1 worksheet per day. No credit card is required to start the trial.

Enterprise Trial: New Enterprise accounts receive a 30-day free trial with full team management features. Each team member can generate 1 worksheet per day during the trial.

Trial Limitations: Free trials are limited to one per user, one per organization, and one per payment method. We use payment card identifiers (fingerprints provided by Stripe) to detect and prevent abuse. Creating multiple accounts to receive additional free trials using the same payment card is prohibited and may result in immediate account termination.

Trial Abuse Prevention: We employ automated fraud detection systems including payment method fingerprinting to identify attempts to circumvent trial limitations. Violations include: creating multiple accounts with the same payment method, using disposable email addresses to obtain repeated trials, deleting and recreating accounts with the same payment card, or any other attempt to abuse free trial access. Violators will have their accounts terminated and may be permanently banned from future use of GradeAid.

After Trial: At the end of your free trial, you will need to subscribe to a paid plan to continue using GradeAid. If you do not subscribe, your access to worksheet generation will be suspended.

7. Payment, Billing, and Refunds

Payment Processing: All payments are processed securely through Stripe. By subscribing, you authorize GradeAid to charge your payment method on a recurring monthly basis.

Auto-Renewal: Subscriptions automatically renew each month unless cancelled. You will be charged on the same day each month based on your initial subscription date.

Failed Payments: If a payment fails, we will attempt to process it again. If payment continues to fail, your account may be suspended until payment is resolved. You remain responsible for all amounts due.

Cancellation: You may cancel your subscription at any time through your account settings or by accessing the Stripe Customer Portal. Cancellation will take effect at the end of your current billing period. You will retain access to the Service until the end of the paid period.

Refunds: Subscription fees are non-refundable. We do not provide refunds or credits for partial months of service, unused worksheets, or cancelled accounts. If you believe you have been incorrectly charged, please contact us immediately.

8. Intellectual Property Rights

GradeAid Platform: The Service, including its original content, features, functionality, software, code, design, graphics, and user interface, is owned by GradeAid and is protected by Australian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

License to Use: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

Trademarks: GradeAid, our logo, and related marks are trademarks of GradeAid. You may not use these marks without our prior written permission.

NSW Curriculum Content: NSW curriculum standards, outcome codes, and syllabus content are the intellectual property of the NSW Education Standards Authority (NESA). GradeAid references this content under educational fair use principles but does not claim ownership.

9. User-Generated Content and Worksheets

Ownership: You retain all rights to the worksheets you generate using GradeAid. We do not claim ownership of your generated content.

License to GradeAid: By using the Service, you grant GradeAid a limited license to store, process, and display your generated worksheets solely for the purpose of providing the Service to you.

Your Responsibility: You are solely responsible for reviewing and verifying the accuracy of all generated worksheets before use in educational settings. GradeAid does not review, edit, or verify the educational accuracy of AI-generated content.

No NESA Endorsement: Generated worksheets are created by AI and are not reviewed, approved, or endorsed by NESA. You must independently verify that content meets curriculum requirements.

10. Prohibited Uses

In addition to the restrictions in Section 4, you specifically agree not to:

  • Use the Service to compete with GradeAid or develop a similar service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Share, distribute, or resell generated worksheets commercially without proper licensing
  • Use the Service to generate content for multiple schools or organizations under a single Individual account
  • Attempt to circumvent usage limits or access controls
  • Use the Service to generate inappropriate, offensive, or harmful educational content
  • Scrape, harvest, or collect data from the Service using automated means

11. Account Termination and Suspension

Termination by You: You may cancel your account at any time through your account settings. Upon cancellation, you will lose access to the Service at the end of your current billing period.

Termination by Us: We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Extended non-payment
  • Requests by law enforcement or government agencies

Notification: In most cases, we will notify you by email after your account has been terminated by GradeAid, including the reason for termination. However, we reserve the right to terminate accounts without notification in cases of severe violations, fraud, or legal requirements.

Effect of Termination: Upon termination, your right to use the Service will immediately cease. We may delete your account data, including generated worksheets, after a reasonable period. We are not obligated to retain your data after termination.

No Refunds on Termination: If we terminate your account for violation of these Terms, you will not be entitled to any refund of subscription fees.

12. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the maximum extent permitted by law, GradeAid disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • AI-generated content will meet NSW curriculum standards or educational requirements
  • Any errors in the Service will be corrected
  • The Service will be available at any particular time or location

Educational Disclaimer: GradeAid is a tool to assist educators. It does not replace professional judgment in reviewing and adapting educational materials. You are responsible for verifying the accuracy and appropriateness of all generated content.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRADEAID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall GradeAid's total liability to you for all damages, losses, and causes of action exceed the amount you paid to GradeAid in the 12 months preceding the claim, or $100 AUD, whichever is greater.

This limitation applies to all claims, whether based on warranty, contract, tort, or any other legal theory, and whether or not GradeAid has been informed of the possibility of such damage.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless GradeAid, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party, including intellectual property rights
  • Your generated content and its use in educational settings
  • Any claim that your use of the Service caused damage to a third party

This indemnification obligation will survive the termination of your account and these Terms.

15. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions.

Jurisdiction: You agree that any legal action or proceeding relating to these Terms or the Service shall be instituted in a court of competent jurisdiction in Sydney, New South Wales, Australia. You consent to the jurisdiction of such courts and waive any objection to venue.

Dispute Resolution: Before filing any formal legal action, you agree to contact us and attempt to resolve the dispute informally. Most disputes can be resolved quickly through direct communication.

Class Action Waiver: You agree to resolve disputes with GradeAid on an individual basis and waive the right to participate in any class action or representative proceeding.

16. Changes to Terms of Service

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by:

  • Posting the updated Terms on our website with a new "Last Updated" date
  • Sending an email notification to the address associated with your account
  • Displaying a prominent notice on the Service

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and cancel your account.

We encourage you to review these Terms periodically to stay informed of any updates.
